How many shareholders are required for the company?
A company can be established with just one shareholder. If you are the sole shareholder, it will be classified as a “Sociedad Limitada Unipersonal” (Single-Member Limited Liability Company). There is no maximum number of shareholders.
What is the process for establishing a company?
Once we have received all the necessary information, we will prepare the documents. You can either choose a company name from our suggestions or reserve your own. We will schedule a notary appointment within 24 hours to sign the deed of incorporation. Please note: The registration in the commercial register may take varying amounts of time depending on its workload.
What is the minimum share capital for the company?
Since the introduction of the “Crea y Crece” Law in 2022, you can establish a company with a minimum share capital of just €1, provided certain conditions are met.
What does the service cost?
The base price for establishing a company is €350. If you require additional services, such as obtaining a NIE (Foreign Identification Number), notarized powers of attorney, or certified translations, additional costs may apply. We provide transparent information about all additional fees.
What does a foreigner need to establish a company in Spain?
To establish a company in Spain, a foreigner needs a Foreign Identification Number (NIE). If the person cannot be present in Spain, notarized powers of attorney are required to allow us to act on their behalf. In some cases, certified translations of certain documents may also be necessary.
Why is a fiscal representative necessary in Spain?
A fiscal representative is mandatory for non-residents who establish a company in Spain. They manage tax obligations, serve as a point of contact with the tax authorities, and ensure compliance with Spanish regulations.
When can I start operating my business?
Your business can start operating immediately after the registration of its activity, which takes place right after the notarial certification.
Do I need to register as self-employed?
That depends on your specific situation. Under Spanish law, every company must have at least one director, who is typically required to register as self-employed. However, there are exceptions, such as:
- When shareholders are obligated to register based on their participation or family relationships.
- When the director is exempt from the obligation due to specific circumstances.
